Terms of service

Terms of service

Effective date: 16th October 2026

1. Who we are and who may buy

We are UF International Limited, trading as UF International, registered in England and Wales with company number 08340105. Our registered office is Unit 8 J4 Yorktown Industrial Estate, Doman Road, Camberley, England, GU15 3LB. Contact sales@ufinternational.co.uk or +44 (0)1344 584018.

The website and our trade sales are intended for businesses purchasing in the course of trade. By registering or submitting a business enquiry, you confirm that the information supplied is accurate and that you are authorised to act for the named business. We may request evidence and decline an application or an unaccepted enquiry on legitimate commercial or compliance grounds. Do not use a trade account for personal purchases. Nothing in these terms removes mandatory rights that apply despite the intended trade-only service.

A business day means a day other than a Saturday, Sunday or public holiday in England. References to writing include email.

2. Website enquiries and contract formation

Product listings, website prices, availability displays, carts, catalogue downloads and website submissions invite enquiries and do not constitute an offer capable of acceptance. Selecting Add to Quote, Add to Enquiry, Review and Submit Enquiry or any equivalent app control submits a request for review only.

An automated email, reference number, account entry or record described by Shopify or an app as an order, checkout or confirmation acknowledges receipt of the enquiry only. Account approval, an account credit limit and submission of payment or delivery preferences do not themselves confirm a sales order or reserve stock.

We will review the request and confirm proposed quantities, prices, availability, payment, delivery and other material terms. A quotation remains available for seven calendar days from its date unless it specifies another period or is withdrawn before a contract is formed.

Unless our quotation expressly sets out a different formation process, your acceptance of it is an offer to purchase and a sales contract is formed only when we issue a written order confirmation expressly accepting that offer. Payment alone does not constitute acceptance; any money received for a request we decline will be returned without undue delay.

You must check quotations and confirmations promptly and raise discrepancies before accepting or proceeding. No goods, substitutions, increases in quantity or additional charges are approved merely because you remain silent.

3. Contract documents and priority

The contract comprises the accepted written order confirmation, its expressly incorporated quotation and specifications, any separately signed agreement, and these Terms of service including the Return and refund policy and Shipping policy made available before acceptance.

Separately signed negotiated terms prevail; the accepted order confirmation and quotation then prevail over these general terms on the particular matters they expressly address.

Your purchase-order or other standard terms do not apply unless we expressly agree to them in writing. Receipt of a purchase order or payment does not constitute agreement to those terms. No later invoice or website update changes an existing contract without agreement.

These documents record the agreement, but do not exclude liability for fraud, fraudulent misrepresentation or any liability that cannot lawfully be excluded.

4. Accounts and permitted website use

Keep account credentials secure, authorise users appropriately and notify us promptly of suspected misuse. You are responsible for instructions from your authorised representatives; responsibility for disputed or unauthorised access will be determined according to the facts and applicable law.

We may suspend website access where reasonably necessary for security, misuse, sanctions compliance or a material breach, without removing accrued contractual rights.

Do not access another business’s account, bypass access controls, introduce malicious software or scrape or reproduce substantial parts of our catalogue without permission.

Trade price lists and non-public commercial information supplied in confidence must be used for your business dealings with UFI and shared only with authorised personnel or advisers who need them and are bound by confidentiality. This does not restrict lawful disclosures, independently obtained information or information already lawfully public.

Website material is owned by us or licensed by the relevant rights holders. You may use it to assess and place trade enquiries. Further reproduction, branding use or publication requires the relevant permission.

We do not guarantee uninterrupted availability and may maintain or update the website; this does not excuse performance of an accepted sales contract.

5. Goods, specifications and shelf life

The agreed quotation, order confirmation and specification identify the goods to be supplied. Website imagery, packaging examples and catalogue descriptions may be illustrative and do not override the agreed specification. We will not rely on this provision to excuse a material misdescription or supply goods contrary to the contract.

Case quantities, unit sizes, barcodes, pallet capacities, ingredients, allergens, dietary claims, certification and remaining shelf life should be confirmed where material to your requirements. Case-to-pallet calculations and images are planning aids, not a guarantee of the loading capacity of a particular shipment.

Unless agreed otherwise, quantities are ordered in cases; the confirmed order determines the actual case and unit quantities.

Tell us before acceptance about any required minimum shelf life, destination-language labels, certifications, product registration or special storage or transport requirement. We will confirm what we undertake to supply.

We will notify you of material specification changes affecting an accepted order and agree an appropriate resolution; we will not make a material substitution without consent. Changes required by law will be handled in accordance with the law and the parties’ existing contractual rights.

Both parties retain their applicable product safety, food information, traceability and recall obligations. Report suspected safety concerns immediately and cooperate reasonably with proportionate investigations, withdrawals or recalls. Neither party is authorised to market or distribute goods unlawfully.

6. Prices, taxes and payment

The accepted quotation and order confirmation determine price, currency, payment dates and included services. Unless expressly included, prices exclude VAT and other taxes, freight, insurance, duties and agreed additional services. Responsibility for particular charges depends on the agreed delivery basis.

Export VAT treatment depends on the legal requirements and evidence; export destination alone does not guarantee zero rating.

We may correct errors or change indicative prices before a contract is formed. A price increase after formation requires your agreement or an express, sufficiently clear adjustment provision already agreed in the contract. We will not use a general website update to impose a retrospective increase.

Unless the contract specifies advance payment or other agreed credit terms, invoices are payable within ten calendar days of invoice in pounds sterling in cleared funds.

An approved trade account does not automatically confer credit. We may review uncommitted credit facilities and require security or advance payment for future orders. Payment dates on existing contracts remain as agreed unless the contract or law permits otherwise.

Pay undisputed sums when due and notify us promptly of invoice disputes with reasons. No deduction, set-off or withholding is permitted except where agreed in writing, required by law or supported by a right that cannot lawfully be excluded.

Any currency or bank charges must be allocated in the agreed payment terms; we do not add undisclosed charges after acceptance.

Where applicable, we may claim statutory interest, fixed compensation and reasonable additional recovery costs under the Late Payment of Commercial Debts (Interest) Act 1998 and associated legislation. There will be no double recovery.

If payment is overdue, we may suspend affected deliveries after written notice where contract and law permit, and seek payment or appropriate security before resuming.

7. Delivery, collection and international trade

The Shipping policy and the agreed order details govern delivery. Each international contract should state the Incoterms 2020 rule and named place or port.

Where expressly incorporated, that rule governs allocation of delivery tasks, costs and risk; it does not determine ownership or payment. If no rule is agreed, delivery and risk transfer when goods are handed over at the agreed delivery or collection location. We do not impose an unstated EXW or FOB term.

Delivery dates are estimates unless we expressly agree that a date is binding. We will notify you of material delays and discuss reasonable mitigation. This does not exclude liability for our own breach or any remedy that the law prevents us from excluding.

Instalments may be used where agreed; the effect of a defective or delayed instalment on the remainder is governed by the contract and applicable law.

You must provide accurate delivery, consignee, importer and destination information and perform the clearance, licensing, labelling and payment obligations allocated to you. We remain responsible for obligations allocated to us and legal duties that cannot be transferred.

Neither party is required to breach sanctions, export controls or other applicable law. We may request compliance documents and suspend performance where reasonably necessary to avoid unlawful supply; any termination or refund will be handled under the contract and applicable law.

If you fail to collect or receive goods as agreed, we may arrange reasonable storage, insurance or redelivery and recover reasonable additional costs attributable to that failure.

We will notify you and allow a reasonable opportunity to remedy the position, taking account of perishability and safety, before reselling or otherwise disposing of goods where legally permitted. Sale proceeds and costs will be accounted for, without double recovery.

8. Inspection, claims and cancellation

The Return and refund policy explains reporting and return arrangements and forms part of these terms.

Inspect promptly and report visible damage, shortages or incorrect goods within five calendar days of receipt. Notify hidden defects promptly after discovery. These procedures do not automatically extinguish claims that could not reasonably have been discovered earlier or rights that cannot lawfully be restricted.

Before formation, you may withdraw an enquiry or unaccepted offer by written notice. After formation, there is no general business change-of-mind cancellation right.

A discretionary cancellation or alteration requires written agreement, with any reasonable and substantiated costs agreed on that basis. This does not remove a contractual or mandatory legal right to reject, cancel or obtain a remedy for breach.

9. Risk and ownership

Risk transfers under section 7 and any expressly agreed Incoterms rule.

Ownership transfers only once we receive full cleared payment for the goods and other goods supplied to you for which payment has become due, to the extent this reservation of title is recognised by applicable law.

Until ownership passes, keep goods identifiable, in satisfactory condition and appropriately insured, and do not remove identifying marks.

You may resell them in the ordinary course of business before payment default or a lawful withdrawal of that permission, subject to applicable insolvency restrictions.

We may request delivery up of identifiable goods still owned by us where legally entitled. Any entry to recover goods requires lawful consent or legal authority; this clause does not authorise forced entry or override third-party rights or insolvency restrictions.

Ownership and recovery rights in another country may depend on that country’s laws. These terms do not create an unregistered security interest or right to proceeds where local law requires additional formalities.

10. Liability

Nothing excludes or limits liability for:

  • Death or personal injury caused by negligence.

  • Fraud or fraudulent misrepresentation.

  • Breach of obligations as to title that cannot lawfully be excluded.

  • Liability that cannot be excluded under the Consumer Protection Act 1987.

  • Any other liability that cannot lawfully be excluded or limited.

Subject to that protection and any mandatory legal requirements, our aggregate liability arising out of or in connection with each affected sales contract, whether in contract, tort including negligence, misrepresentation, breach of statutory duty or otherwise, is limited to the total price paid or payable under that contract. Contracts or claims will not be artificially divided to reduce that cap.

Subject to the same protection, we exclude indirect or consequential loss and loss of profit, revenue, anticipated savings, goodwill or business opportunity, whether direct or indirect.

These exclusions and the cap apply only so far as lawful and enforceable, including any applicable reasonableness requirements. They do not exclude our express obligations under the agreed specification or a remedy that cannot lawfully be restricted. No blanket exclusion of all statutory quality or description obligations is intended.

You must take reasonable steps to mitigate losses. We remain accountable for losses within our responsibility; you remain accountable for losses caused by your own breach, misuse or failure to follow agreed storage or handling requirements.

This allocation does not create an unlimited indemnity or transfer our statutory duties to you.

11. Suspension, termination and events beyond control

Where legally permitted, a party may terminate an affected contract by written notice for a material breach which cannot be remedied, or which remains unremedied fourteen days after written notice identifying the breach and requiring a remedy.

Non-payment, unlawful supply and urgent safety risks may justify earlier suspension or termination where the contract and law permit. All insolvency-related rights are subject to statutory restrictions, including applicable restrictions on terminating supply contracts.

A party affected by an event beyond its reasonable control must notify the other promptly, explain the likely effect and take reasonable steps to mitigate it. Performance is excused only to the extent and for the period actually prevented. Lack of funds or ordinary price changes alone are not force majeure.

Payment for goods already properly supplied remains due. If the event prevents an affected obligation for more than sixty days, either party may terminate the unperformed affected part by written notice.

We will refund amounts paid for goods that will not be supplied, subject only to deductions separately agreed and lawfully due.

Termination does not remove accrued rights, sums properly due or provisions intended to survive. Neither party may recover the same loss twice.

12. Notices, changes and other provisions

Send notices to sales@ufinternational.co.uk and the business contact address supplied by the buyer, or any replacement notified in writing.

An email is treated as received on the next business day after sending if correctly addressed and no delivery failure is received. This does not govern service of court proceedings or override mandatory service rules.

A variation to an existing contract requires written agreement by authorised representatives. Delay in exercising a right is not a waiver.

An unenforceable provision will be severed to the extent legally possible without rewriting the commercial bargain; the rest remains effective.

Neither party may transfer contractual obligations without the other’s written agreement, except where the contract expressly permits or law requires it.

A person who is not a party has no right to enforce the contract under the Contracts (Rights of Third Parties) Act 1999 unless expressly stated.

13. Governing law and disputes

These terms and sales contracts, and non-contractual obligations arising from them, are governed by the law of England and Wales.

The courts of England and Wales have exclusive jurisdiction, subject to mandatory rules which cannot lawfully be displaced.

The parties should first attempt in good faith to resolve a commercial dispute through their nominated contacts; this does not prevent urgent relief or proceedings needed to protect a legal time limit.

Overseas recognition and enforcement remain subject to the applicable law and treaties.
